These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Participant,” “Client,” “you,” or “your”) and Boki Youth Development Foundation (the “Foundation”) and/or Boki Technology Hub (the “Hub”) (together, “Boki Youth Development Foundation and Boki Technology Hub,” “Company,” “we,” “us,” or “our”). By accessing or using the digital education platform, technology-enabled assessment and certification tools, learning management system, website, APIs, mobile applications, solar-powered digital learning centers, or any related programs and services (collectively, the “Service”), you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Service.

The Foundation and the Hub operate as a strategic “One Mission, Two Paths” pairing based in Boki Local Government Area (LGA), Cross River State, Nigeria. The Foundation is a nonprofit corporation incorporated in the State of Minnesota, operating exclusively for charitable, educational, and developmental purposes, that has applied for tax-exempt recognition under Section 501(c)(3) of the U.S. Internal Revenue Code (IRS determination pending), providing fully subsidized digital education, technology-enabled assessment, and IT vocational skills training to underserved youth, women, and marginalized populations. The Hub is a for-profit enterprise, registered with the Nigerian Corporate Affairs Commission (CAC) as a Private Company Limited by Shares, providing market-rate, commercial digital and technology services. Both entities are powered entirely by renewable solar energy.

Acceptance of Terms

By creating an account, enrolling in a Foundation program, subscribing to a Hub service plan, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms apply to all users of the Service, including Foundation program participants, guardians consenting on behalf of minor participants, instructors and mentors, Hub commercial clients, and administrators.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Description of Service

The Service is a digital education and technology platform that enables the delivery of IT vocational skills training, technology-enabled computer-based assessment and certification, and commercial digital and enterprise technology services. The Service includes, but is not limited to: solar-powered digital learning labs and computer-based testing centers, course and curriculum delivery, video and multimedia hosting, certification issuance and verification, membership and enrollment management, messaging, event and workshop management, entrepreneurship and job-placement support, donation and payment processing integration, and mobile application publishing.

The Service is provided on an “as available” basis. Given our off-grid, rural operating environment, we do not guarantee uninterrupted, error-free, or secure access to the Service at all times, including during periods of reduced solar power generation, equipment maintenance, or connectivity disruption.

Eligibility, Enrollment, and Minor Participants

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service, except as provided below for Foundation youth programs.

Minor Participants. The Foundation’s vocational training and digital education programs are open to youth participants under the age of 18. Where a participant is a minor, a parent or legal guardian must review, accept, and sign these Terms and the accompanying Privacy Policy on the minor’s behalf prior to enrollment, and the parent or guardian remains responsible for the minor’s compliance with these Terms.

By registering or enrolling, you (or, for a minor, your parent or guardian) represent and warrant that all information provided is accurate, current, and complete, and will be maintained and updated as needed.

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

Program Fees, Subscriptions, and Payment

Foundation Programs. Foundation-administered IT vocational training, digital literacy, and technology-enabled assessment programs are provided free of charge or at a fully subsidized rate to eligible youth, women, and marginalized participants, consistent with our charitable mission. Certain limited fees (such as third-party certification exam fees, materials fees, or optional advanced modules) may apply and will be clearly disclosed to you prior to enrollment.

Hub Commercial Services. Access to Hub commercial digital and enterprise technology services requires payment of applicable fees. By subscribing to or purchasing a Hub service, you authorize us to charge your designated payment method (including supported mobile money, bank transfer, or card payment channels) for all applicable fees, including but not limited to setup fees, recurring subscription fees, and any other charges associated with your use of the Service.

Fees are quoted and charged in [Nigerian Naira (₦) / United States Dollars (USD) — as applicable to your program or region].

30-Day Money-Back Guarantee (Hub Services Only). If you are not satisfied with a paid Hub service, you may request a full refund within thirty (30) days of your initial subscription purchase. Refund requests must be submitted to [Insert Hub support email] within the 30-day window. This guarantee applies only to your first subscription payment and does not apply to setup fees.

Refunds After 30 Days. After the initial 30-day period, Hub service refunds are evaluated on a case-by-case basis at our sole discretion and are not guaranteed. In no event will any refund exceed the amount equivalent to one (1) month of your subscription fee. Partial-month refunds, prorated refunds, and refunds for unused time are not available. Setup fees are non-refundable under all circumstances.

Foundation program fees (where applicable, such as exam or materials fees) are non-refundable once a participant has commenced the associated module or examination, except where required by applicable law or at our discretion in cases of documented hardship.

We reserve the right to change pricing at any time. Price changes for existing Hub subscribers will take effect at the start of the next billing cycle following notice of the change. If any payment fails or is declined, we may suspend or restrict access to your account or community until the outstanding balance is resolved.

Termination and Program Withdrawal

We reserve the right to suspend, restrict, or terminate your account, program enrollment, or access to the Service at any time, for any reason or for no reason, with or without prior notice, at our sole and absolute discretion. This includes, but is not limited to, termination for violation of these Terms, suspected fraudulent or illegal activity, examination misconduct, abusive behavior, content violations, non-payment (for Hub services), or any conduct we deem harmful to the Service, its participants, or our mission.

You may withdraw from a Foundation program or cancel a Hub subscription at any time through your account dashboard or by written notice. Upon cancellation or withdrawal:

Your community, course, or Hub account will remain accessible for a grace period of seven (7) days following the effective date of cancellation.
After the grace period, access will be taken offline and will no longer be available to you or your community members.
Your account data, coursework, and assessment records may be retained for a reasonable period at our discretion, including as necessary to preserve certification and academic records, but we are under no obligation to preserve or make available any other data after termination.
No refunds will be issued for any remaining time on a Hub subscription or for any Foundation program fees previously paid, except as described in Section 4.

Upon termination by either party, all rights and licenses granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 8, 9, 10, 11, 12, and 14.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable Nigerian, U.S., and international laws and regulations. You are solely responsible for all content, data, and activity within your account, community, or program participation.

You agree NOT to use the Service to:

Host, distribute, transmit, or make available any pornographic, sexually explicit, or obscene material of any kind, including images, videos, text, audio, live streams, or any other media depicting sexual content, nudity intended for sexual gratification, or adult entertainment.
Host, promote, or distribute content that exploits, abuses, or endanger minors in any way.
Engage in, facilitate, or promote any illegal activity, including but not limited to fraud, money laundering, drug trafficking, weapons sales, human trafficking, or terrorism.
Cheat, impersonate another test-taker, share exam content, or otherwise compromise the integrity of any technology-enabled assessment or certification administered through the Service.
Distribute malware, viruses, spyware, or any other harmful or malicious code or software.
Harass, bully, threaten, defame, or intimidate any person or entity.
Infringe upon or violate the intellectual property rights, privacy rights, or any other rights of any third party.
Impersonate any person or entity or misrepresent your affiliation with the Foundation or the Hub.
Transmit unsolicited mass communications, spam, or phishing attempts.
Attempt to probe, scan, test, or breach the security or authentication measures of the Service or any related systems or networks.
Interfere with, disrupt, or impose an unreasonable or disproportionate load on the Service’s solar-powered infrastructure, servers, or networks.
Collect, mine, or use automated means to extract data from the Service without our express written consent.
Resell, sublicense, lease, or redistribute the Service, program certifications, or access to the Service to any third party without our express written consent.
Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other participant’s or client’s use of the Service.

We reserve the right to investigate any suspected violation of this Acceptable Use Policy and to take any action we deem appropriate, including but not limited to issuing warnings, suspending or terminating accounts or program enrollment, revoking certifications obtained through misconduct, removing content, reporting activity to law enforcement, and pursuing legal remedies.

Resource Usage and Fair Use

Because our facilities operate entirely on renewable solar energy with battery-based power redundancy for low-sunlight periods, computer lab time, video hosting, streaming bandwidth, file storage, and other platform resources are made available on a fair and reasonable basis consistent with normal program or subscription use. “Normal use” means usage patterns consistent with the ordinary operation of a digital education, assessment, or enterprise technology platform, including hosting educational and training videos, community discussions, coursework submissions, assessment delivery, and standard content delivery.

“Normal use” does not include:

Using the Service primarily as a content delivery network (CDN), file hosting service, or video streaming platform disconnected from a genuine educational, training, or Hub business purpose.
Automated, scripted, or bot-driven consumption of bandwidth, storage, computer lab time, or API resources.
Hosting or distributing content on behalf of third parties who are not enrolled participants, community members, or Hub clients.
Any usage pattern that we reasonably determine places an excessive or disproportionate burden on our limited, solar-generated power and infrastructure relative to the intended purpose of the Service.

If we determine, in our sole discretion, that your usage exceeds normal use or otherwise strains our limited off-grid power and connectivity resources, we may contact you to discuss your usage, implement reasonable limitations (including scheduled lab access windows), require you to upgrade to a Hub enterprise plan, or suspend the affected functionality. We reserve the right to define and enforce fair use thresholds at our discretion.

Intellectual Property

The Service, including all software, code, design, text, graphics, logos, icons, images, audio, video, curricula, assessment content, data compilations, the “Boki Youth Development Foundation” and “Boki Technology Hub” names and marks, and the overall look and feel of the platform, is the exclusive property of the Foundation and/or the Hub, as applicable, and is protected by Nigerian, United States, and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any original content you create and upload to the Service (“Participant Content”), such as coursework, projects, and portfolio submissions. By uploading Participant Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, distribute, and use your Participant Content solely for the purpose of operating and providing the Service, evaluating your progress, issuing certifications, and reporting anonymized program outcomes to donors and grantors.

Certificates and credentials issued upon successful completion of a program remain the property of the issuing entity (the Foundation or the Hub, as applicable) and may be revoked in cases of fraud, misconduct, or violation of these Terms.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to upload and distribute your Participant Content and that such content does not violate the rights of any third party.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

The Service will be uninterrupted, timely, secure, error-free, or free from bugs, viruses, or other harmful components, including interruptions caused by low-sunlight periods, power system maintenance, or rural connectivity limitations.
The results obtained from the use of the Service, including assessment scores, certifications, or job placement outcomes, will be accurate, guaranteed, or meet your expectations.
Any errors, defects, or bugs in the Service will be corrected within any specific timeframe or at all.
The Service will be compatible with any particular hardware, software, or network configuration.

You acknowledge and agree that your use of the Service is at your sole risk. We are not responsible for any loss of data, revenue, profits, employment outcomes, or business opportunities arising from bugs, errors, downtime, power interruptions, security breaches, or any other issues related to the Service. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly stated in these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE FOUNDATION, THE HUB, THEIR OFFICERS, DIRECTORS, TRUSTEES, EMPLOYEES, VOLUNTEERS, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, EMPLOYMENT OR BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO THE HUB DURING THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), FOR PARTICIPANTS IN FULLY SUBSIDIZED FOUNDATION PROGRAMS WHO HAVE PAID NO FEES.

This limitation of liability applies to the fullest extent permitted by law and shall survive the termination or expiration of these Terms.

Indemnification

You agree to indemnify, defend, and hold harmless the Foundation, the Hub, their officers, directors, trustees, employees, volunteers, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

Your use of or access to the Service.
Your violation of these Terms or any applicable law or regulation.
Your Participant Content or any content hosted within your community or account.
Your violation of any third party’s rights, including intellectual property rights, privacy rights, or contractual rights.
Any dispute between you and other participants, community members, or Hub clients.
Any claim that your use of the Service caused damage to a third party.

Where the Participant is a minor, this indemnification obligation applies to the parent or legal guardian who accepted these Terms on the minor’s behalf. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

Third-Party Services

The Service may integrate with or rely upon third-party services, including but not limited to payment and mobile-money processors (such as Paystack, Flutterwave, or Stripe), Apple App Store and Google Play Store for mobile app distribution, cloud hosting and infrastructure providers, solar power and battery system monitoring vendors, and various content delivery networks for media streaming. We are not responsible for the availability, accuracy, security, or performance of any third-party services. Your use of third-party services is subject to their respective terms and conditions.

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy, including its provisions regarding the respective roles of the Foundation and the Hub as data controllers.

As a Hub commercial client operating your own community, workspace, or client base through the Service, you are independently responsible for complying with all applicable privacy laws and regulations (including but not limited to the Nigeria Data Protection Act 2023, GDPR, and CCPA) with respect to the personal data of your own members, employees, or clients. You are responsible for maintaining your own privacy policy and ensuring it accurately reflects your data practices.

Data shared between the Foundation and the Hub to support program delivery (such as facilitating a participant’s transition from subsidized Foundation training into paid Hub services) is governed by a written inter-entity agreement (the “Master Shared Services Agreement”), priced at fair market value and reviewed annually by the Foundation’s Audit & Compliance Committee, as further described in our Privacy Policy.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions, with respect to all matters concerning the delivery of programs and services within Boki LGA, Cross River State, Nigeria. Matters relating specifically to the Foundation’s corporate existence and its pending Section 501(c)(3) tax-exempt status shall additionally be governed by the laws of the State of Minnesota, United States of America.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved exclusively in the courts of Cross River State, Nigeria, and you irrevocably consent to the personal jurisdiction and venue of such courts, except where mandatory local consumer protection law requires otherwise.

You agree that any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred, to the extent permitted by applicable law.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement

These Terms, together with the Privacy Policy, any program-specific enrollment agreements, and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and the Foundation and/or the Hub regarding your use of the Service. These Terms supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, with respect to the subject matter hereof.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of the Foundation or the Hub, as applicable.
